Every company is registered in the National Court Register, has NIP number (taxpayer ID no.)
and Regon (statistical ID).
Each company has been registered for VAT purposes and has obtained a EU VAT number (EU NIP).
We provide services related to the sale of the company. This usually takes approximately 2 hours.
Costs :
- a registered company: PLN 2,500 (including the preparation of documentation and the submission of the documentation to the National Court Register);
- a notary public: PLN 200-300 (depending on the number of buyers);
- changes in the National Court Register entry: PLN 350.

Is it worth buying a shelf company?

If you buy a shelf company, you must be very careful because you take over all of that company’s liabilities. It is often likely to happen that the seller does not inform you about all liabilities or forgets some of them. It even happened that the company was a customer of the virtual office and the new buyer had realised after several months that the virtual office fee had not been paid by the previous owner. Therefore, if you buy a company, you must find out what the company’s cost invoices are, record the company’s fixed costs, and call that company’s permanent service providers to check the balance of settlements. The question is, however, whether the seller gives you the data of all business partners if you have not already paid for the company. It would be better to find a seller that has actually managed the company, in particular since the incorporation. Please note that a seller can be a person that bought the company a week ago and knows nothing about the company and the company’s business partners or debts. That is why the risk of buying a company is quite big and it is better to look for a company that is offered for sale by the first owner, like in the case of a second-hand car. When you buy a shelf company, you will still have to go through ordeal connected with the National Court Register. Instead of registering a new company, you have to make a number of changes in the National Court Register. If you want to take advantage of the virtual office, you can enter the virtual office’s address as a new registered office of your company and, only when the changes are successfully recorded in the National Court Register, go to the selected virtual office, e.g. VSL-System at Złota Street, Aleje Jerozolimskie or Mazowiecka Street, to enter into a virtual office agreement. Of course the agreement can be fully or partially entered into remotely and then the signed agreement must be submitted to the office.

No risk no fun!

To make the risk of buying a shelf company evident to you, we would like to present a person that was selling companies at the virtual office at 85 Aleje Jerozolimskie, suite 21. That person was trading companies that intensively that they were visited by antiterrorists early in the morning at their apartment. Of course, antiterrorists were looking for previous owners of one of companies, which means that everything was positively clarified. You never know who was the company owner previously and what they dealt with. The probability of chancing upon an unlucky company is like getting infected with COVID. Thus it does not happen every day.

When is it worth buying a shelf company?

It is worth buying a shelf company mainly due to creditworthiness and reliability connected with its long existence, which may be necessary to take part in tenders. Announcements on biznesoferty.pl indicate that the company is made credible to a great extent by its president. On that website, there are advertisements of so called banks of presidents who have a good record in the Credit Information Bureau (BIK). This means a so called high BIK and if such a president is introduced to the company, the company is said to be able to get financing from all banks. The president should have a 70% BIK. The bank of presidents can offer even 700 candidates who are ready to make financial commitments on behalf of the company. Thus, you can connect the purchase of a long-lasting company and past income with a good president in terms of BIK, which creates new development opportunities or simply investment capacities. It is easy to imagine that such a company buys commercial premises with a chain tenant on credit and, when the credit is repaid, the premises become de facto the property of the company owner, i.e. the person that bought the company and hired the president with a good BIK.
